Terms of Service

Farsummer is a software platform that models and visualizes the estimated cost of corporate decarbonization pathways. The Service uses publicly available information, proprietary data processing, AI-assisted research and classification, and modeling techniques to estimate Marginal Abatement Cost Curves ("MACCs") and evaluate how technologies may reduce future decarbonization costs.

The Service is intended for research, planning, education, and analytical purposes.

The Service may be offered as a beta, pilot, preview, or early-access product.

You acknowledge that the Service may:

• contain errors, omissions, or incomplete data;
• change without notice;
• be unavailable from time to time;
• include experimental features, models, datasets, or visualizations;
• produce outputs that require independent review and validation.

Farsummer may modify, suspend, or discontinue any portion of the Service at any time.

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

You are responsible for ensuring that your use of the Service complies with applicable laws, rules, and regulations.

Certain features require an account.

You may be required to log in using a supported authentication method, such as Google OAuth.

You agree to:

• provide accurate account information;
• maintain the security of your account;
• promptly notify Farsummer of any unauthorized access or use;
• be responsible for all activity occurring under your account.

We may suspend or terminate your account if we believe your use violates these Terms, creates security risk, or may harm the Service or other users.

You agree not to:

• use the Service for unlawful, fraudulent, harmful, or abusive purposes;
• interfere with, disrupt, or compromise the Service;
• attempt to gain unauthorized access to systems, accounts, data, or infrastructure;
• reverse engineer, decompile, or attempt to extract source code, proprietary models, datasets, or methodology, except where permitted by law;
• scrape, crawl, export, or systematically download substantial portions of the Service without written permission;
• copy, reproduce, redistribute, or commercialize Farsummer datasets, models, taxonomy, visualizations, or outputs without written permission;
• use the Service or its outputs to build, train, improve, or commercialize a competing product or dataset;
• upload malicious code, unauthorized data, or content that infringes the rights of others;
• misrepresent Farsummer outputs as verified facts, guarantees, or official company disclosures.

We may investigate and take appropriate action in response to suspected violations.

The Service may allow you to create, submit, or save content, including:

• technologies;
• technology descriptions;
• impacted abatement options;
• cost assumptions;
• company collections;
• company mix overrides;
• abatement cost overrides;
• notes, preferences, and configuration settings.

This is "User Content."

You retain ownership of your User Content.

By submitting User Content, you grant Farsummer a non-exclusive, worldwide, royalty-free license to host, store, process, display, reproduce, and use your User Content solely as necessary to provide, maintain, secure, and improve the Service.

You represent that you have the rights necessary to submit any User Content you provide.

You agree not to submit confidential, sensitive, regulated, or proprietary third-party information unless you have the right to do so.

If you provide ideas, comments, suggestions, or feedback about the Service, you grant Farsummer the right to use that feedback without restriction or compensation.

This does not transfer ownership of your User Content.

The Service, including its software, user interface, datasets, taxonomy, models, methodology, documentation, visualizations, designs, names, logos, and other content, is owned by Farsummer or its licensors and is protected by intellectual property and other laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, create derivative works from, or commercially exploit any part of the Service without prior written permission.

Nothing in these Terms transfers ownership of Farsummer intellectual property to you.

The Service may include information derived from public corporate disclosures, sustainability reports, transition plans, emissions inventories, cost references, and other third-party or publicly available sources.

Farsummer does not guarantee that third-party or public information is accurate, complete, current, or error-free.

References to companies, technologies, products, or organizations do not imply endorsement, sponsorship, or affiliation.

Some Farsummer datasets, classifications, cost estimates, abatement pathway estimates, and analytical outputs may be generated or supported by AI-assisted extraction, classification, summarization, research, and modeling.

Farsummer outputs are based on public information, proprietary methodology, assumptions, and estimates.

The outputs of the Service, including estimated emissions pathways, abatement costs, technology impacts, market sizing, savings estimates, and other analyses:

• are estimates only;
• may contain errors, omissions, outdated information, or assumptions;
• may not reflect actual company plans, costs, financial performance, or future outcomes;
• should not be interpreted as factual statements, guarantees, or official company disclosures;
• should be independently reviewed and validated before being relied upon.

You are responsible for evaluating the accuracy, completeness, relevance, and suitability of any Service output for your intended use.

The Service is provided for informational and analytical purposes only.

Nothing in the Service constitutes:

• investment advice;
• financial advice;
• legal advice;
• accounting advice;
• engineering advice;
• tax advice;
• regulatory advice;
• sustainability certification;
• assurance or verification of emissions data.

You should consult qualified professionals before making business, investment, legal, financial, engineering, regulatory, or operational decisions based on the Service.

Your use of the Service is also governed by the Farsummer Privacy Policy.

Please review the Privacy Policy to understand how we collect, use, disclose, and protect information.

We strive to keep the Service available but do not guarantee uninterrupted, secure, or error-free access.

We may modify, update, suspend, restrict, or discontinue any part of the Service at any time, with or without notice.

We are not liable for any modification, suspension, or discontinuation of the Service.

The Service may rely on or integrate with third-party services, such as hosting, authentication, database, infrastructure, or communication providers.

Your use of third-party services may be subject to those providers' own terms and policies.

Farsummer is not responsible for third-party services, websites, products, or content.

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

• you violate these Terms;
• your use creates legal, security, operational, or reputational risk;
• continued access may harm Farsummer, the Service, or other users;
• we discontinue the Service or a portion of it.

Upon termination, your right to use the Service will end.

Sections intended to survive termination will continue to apply, including provisions related to intellectual property, User Content licenses, disclaimers, limitations of liability, and dispute resolution.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARSUMMER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RELIABILITY.

FARSUMMER DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• THE DATA OR OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
• ERRORS OR DEFECTS WILL BE CORRECTED;
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
• MODELED OUTPUTS WILL MATCH REAL-WORLD COSTS, EMISSIONS PATHWAYS, COMPANY ACTIONS, OR TECHNOLOGY OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARSUMMER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARSUMMER'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• ONE HUNDRED U.S. DOLLARS (US$100); OR
• THE AMOUNT YOU PAID TO FARSUMMER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Farsummer and its officers, directors, employees, contractors, agents, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• your use of the Service;
• your User Content;
• your violation of these Terms;
• your violation of applicable law;
• your infringement or misappropriation of third-party rights.

We may update these Terms from time to time.

If we make material changes, we will update the Effective Date and, where appropriate, provide notice through the Service or by other reasonable means.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising from or related to these Terms or the Service will be resolved in the state or federal courts located in California, unless otherwise required by applicable law.
